11. Governing Law and Venue

These Terms and any dispute or claim arising out of or related to these Terms or the Site (in each case, including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws principles.

Any legal action or proceeding arising out of or related to these Terms or the Site must be brought exclusively in the state or federal courts located in McLennan County, Texas, and you consent to the personal jurisdiction and venue of those courts.

12. Limitation on Time to File Claims

Any cause of action or claim you may have arising out of or relating to these Terms or the Site must be commenced within one (1) year after the cause of action accrues; otherwise, the cause of action or claim is permanently barred.

13. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

14. Waiver

No failure or delay by us in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy, nor shall any single or partial exercise of any right or remedy preclude any further exercise of it.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Waco Winnelson Co. regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties relating to the Site.
